1. Purpose
This agreement explains what it means to become and remain an OUTPAY INDIA merchant. It is written to be understood without a lawyer. By completing onboarding and accepting merchant credentials, you agree to these terms.
2. Eligibility & Onboarding
To become a merchant, you need an active retail shop or service outlet, valid identity and address proof, a PAN, an active bank account, a smartphone with internet access, and the ability to maintain adequate cash on hand for customer transactions. Onboarding involves submitting your application and documents, completing KYC, a shop verification step, signing this agreement, completing training, receiving your merchant credentials, and completing a test transaction before you begin serving customers. 3. Services You May Offer
Once activated, you may offer the services enabled on your merchant account — which may include UPI-based cash access, AePS services, domestic money transfer, micro-ATM services, recharge and utility payments, and BBPS bill payments. The specific services available to you depend on partner-bank approval and may change over time. You may only offer services that are active on your account.
4. Your Obligations
- Keep your shop, documents and bank details up to date with OUTPAY.
- Maintain sufficient cash to serve customer withdrawal requests during your operating hours.
- Keep your merchant login credentials and device secure.
- Complete the training provided and follow the transaction process correctly.
- Treat every customer fairly and transparently.
5. Cash Handling & Conduct
These rules exist to protect your customers and your own standing as a merchant:
- Provide cash only after the transaction is verified and confirmed on your device.
- Never ask a customer for their UPI PIN or OTP, under any circumstance.
- Display all applicable charges clearly before completing a transaction.
- Provide a digital confirmation or receipt for every completed transaction.
- Report any failed or suspicious transaction to OUTPAY support immediately.
- Follow the operating procedures set by OUTPAY INDIA and our partner banks at all times.
- Cooperate fully with any compliance audit or review, including providing requested records promptly.
6. Commission & Settlement
You earn commission on eligible transactions completed through your merchant account, at the rates communicated to you during onboarding or subsequently updated by OUTPAY INDIA. Settlement timelines and methods are shown in your merchant dashboard. Any earning potential discussed during onboarding or on our website is an indicative estimate only. Your actual earnings depend on your transaction volume, customer footfall, and local demand, and are not guaranteed — see our Compliance Disclaimer for full detail.
7. Prohibited Conduct
- Processing any transaction you know or suspect to be fraudulent.
- Charging any amount beyond the displayed applicable charges.
- Sharing your merchant credentials or device with any other person.
- Assisting or allowing a customer's UPI PIN or OTP to be captured, viewed or recorded.
- Operating outside the services and limits enabled on your account.
8. Compliance & Audits
OUTPAY INDIA and our partner banks may conduct periodic compliance checks or audits of merchant activity, which may include reviewing transaction records, visiting your shop, or requesting supporting documents. You agree to cooperate with these checks as a condition of remaining an active merchant.
9. Suspension & Termination
OUTPAY INDIA may suspend or terminate your merchant account if you breach this agreement, fail a compliance check, engage in prohibited conduct, or on instruction from a partner bank or regulator. You may also choose to stop offering OUTPAY services at any time by informing your distributor or OUTPAY support; any pending settlement will be processed per our Refund and Cancellation Policy.
10. Liability
You are responsible for transactions conducted through your merchant account and for following the conduct rules in Section 5. OUTPAY INDIA is not liable for losses arising from your failure to follow these rules, including losses caused by sharing a customer's UPI PIN or OTP, or providing cash before a transaction is verified.
