1. Purpose
This agreement sets out the terms on which you participate in the OUTPAY INDIA network as a State, District or Pincode distributor. It applies from the date you complete onboarding and sign this agreement, and continues until terminated as described below.
2. Distributor Types & Territory
You are onboarded as one of three distributor types — State, District or Pincode — each assigned a specific territory. Your territory, distributor type, and reporting line within the OUTPAY Head Office → State → District → Pincode → Merchant hierarchy will be confirmed in writing during onboarding. OUTPAY INDIA reserves the right to adjust territory boundaries where reasonably necessary for network planning, with notice to affected distributors.
3. Your Role & Responsibilities
- Recruit, onboard-support and train merchants (or, for State/District distributors, lower-tier distributors) within your territory.
- Monitor service quality and compliance among the merchants/distributors in your territory.
- Act as the first point of escalation for onboarding and operational queries within your territory.
- Represent OUTPAY INDIA's standards and conduct rules accurately to those you onboard.
4. Onboarding & Investment
Distributor onboarding may involve a territory activation fee, as communicated to you before you commit. Any figure discussed with you regarding investment amount, expected commission, or income potential during onboarding is an indicative business projection only, and not a guaranteed outcome. 5. Commission Structure
You earn commission based on the transaction activity of the merchants and/or distributors within your territory, at the structure communicated to you at onboarding and visible in your distributor dashboard. OUTPAY INDIA may revise commission structures from time to time, with reasonable notice. Actual commission earned depends on merchant activation rates, transaction volumes, and territory performance — none of which OUTPAY INDIA can guarantee.
6. Reporting & Compliance
You agree to use your distributor dashboard accurately, report merchant or transaction issues promptly, and cooperate with any compliance review or audit conducted by OUTPAY INDIA or our partner institutions covering your territory.
7. Prohibited Conduct
- Making any income, return or guarantee promise to a prospective merchant or distributor beyond what OUTPAY INDIA has approved in writing.
- Onboarding a merchant or distributor without completing required KYC steps.
- Misrepresenting OUTPAY INDIA's services, fees or affiliation with any bank or regulator.
- Collecting any fee from a merchant or distributor outside the structure approved by OUTPAY INDIA.
8. Termination
Either party may terminate this agreement with written notice as specified at onboarding. OUTPAY INDIA may terminate immediately for breach of this agreement, prohibited conduct, or on instruction from a partner institution or regulator. On termination, pending commission is settled per the terms confirmed at onboarding and our Refund and Cancellation Policy.
9. Liability & Indemnity
You are responsible for the conduct of merchants and lower-tier distributors you directly onboard and supervise, to the extent set out in your onboarding documentation. You agree to indemnify OUTPAY INDIA against losses arising from your breach of this agreement, including any unauthorised representation you make to a prospective merchant or distributor.
10. Income Disclaimer
This is the single most important section of this agreement. All investment, commission and income illustrations shared with you — whether on this website, during onboarding, or by another distributor — are indicative business projections only. Actual results depend on merchant activation, transaction volume, partner approval, operating costs, territory performance and market conditions.
